This agreement applies if you list services or products on Softqora or receive orders as a seller. It adds to the Terms of Service. By creating a seller profile or listing you accept it. If you sell for a company, you confirm you can bind it.
1. Independent status
You are an independent business or professional. Nothing here creates employment, partnership, agency or joint venture between you and Softqora. You decide how to do the work, are responsible for your own taxes, licences, insurance, social contributions and legal compliance, and are not entitled to employee benefits from us.
2. Your seller profile
You must give accurate information about your identity, skills, experience, portfolio and location. Portfolio items must be your own work or shown with permission, and credited where others contributed. Keep your profile current. We may ask for identity or business documents before enabling payouts or showing verification marks.
3. Listings
Each listing must state, clearly and truthfully: what you will deliver, what is not included, price, delivery time, number of revisions, what the buyer must provide, and the work-mode label (section 4). You may not list services you cannot perform, services that breach the Acceptable Use Policy, or content you lack the right to sell. Seller Free accounts have the listing limits shown on the Pricing page.
4. Work-mode labels and AI disclosure
You must label how each listing and delivery is produced, using one of Softqora's four labels:
- Human Built: a person does the work; AI is limited to routine editor assistance and does not produce deliverables.
- AI Assisted: a person leads and is accountable; AI speeds up drafts, boilerplate or research, and you review everything before delivery.
- AI Generated + Human Verified: AI produces the first version and a named human reviews it against the brief and signs off.
- Automated: delivery is produced by software or an agent with little or no human involvement.
Using the wrong label is a breach of this agreement. If your process changes, update the label before accepting new orders. Full detail is in the AI Disclosure Policy.
5. Orders and delivery
Once you accept an order you must deliver the agreed scope by the agreed date, communicate through the Platform, and tell the buyer promptly if there is a problem. Deliveries must be original or properly licensed, free of malware, and fit for the described purpose. Fix defects and make the revisions included in the order at no extra cost.
6. Intellectual property
You promise that you own or have the right to license everything you deliver, that it does not infringe anyone's rights, and that you have complied with the licences of any open-source or third-party material. Unless the order says otherwise, custom deliverables transfer to the buyer on full payment as described in the Buyer Terms. You keep your pre-existing tools and know-how and grant the buyer the licence needed to use them with the deliverable. You grant Softqora a licence to display your listings and portfolio items on the Platform and in marketing of the Platform.
7. Confidentiality and data
Keep buyer information confidential and use it only to perform the order. If you handle personal data for a buyer, you must do so lawfully and securely and only on the buyer's instructions.
8. Fees and payouts
Fees, payout timing and holds are in the Payments and Fees Terms. You authorise Softqora and its payment partner to collect fees from sale proceeds.
9. Verification
Softqora Verify records checks that have really run (for example skills, portfolio evidence, work history, delivery record, assessments, technical checks and AI-use disclosure). A check you pass is shown on your profile; a check not done is not shown. You agree that submissions you make to Verify are truthful. Providing false evidence results in removal of the mark and may end your account.
10. Keeping transactions on Softqora
You may not use the Platform to find buyers and then take the transaction off the Platform to avoid fees. You may not ask for or take payment outside the Platform for work that began through it.
11. Taxes
You are responsible for any taxes on what you earn. Where the law requires us to collect, withhold or report tax or seller information, we will, and you agree to provide the information we need.
12. Suspension and ending
We may suspend or remove listings, delay payouts as the law allows while we investigate, or close your account if you breach this agreement or the Terms, receive repeated serious complaints, or create risk for buyers. You may stop selling at any time, but you must complete open orders or arrange with buyers to cancel them.
13. Liability
You are responsible to buyers for your work. You will compensate Softqora for losses, costs and claims arising from your breach of this agreement, your deliverables, or your infringement of another person's rights, to the extent the law allows. Softqora's liability to you is limited as stated in the Terms of Service.
